1. Hours of Operation.
Monday-Friday 9am-6pm PST. Replies to emails and phone messages on weekends may occur, but can not be expected unless a prior appointment was made.
2. Web Design Packages and other Pricing.
A “Web Design Package” price has a base price for specific features and does not include any client changes/add-ons above and beyond them which could increase the package cost unless notated in the invoice. Any variation to a standard package is a “customized” web package. Discounts in prices are also a “customized package” or “custom features” for a client and may not include all features of a regular package. Website hosting is not included in package pricing and is billed seperately.
3. Work Expectations.
Clients need to understand we are always working on more than their project and to have realistic expectations. Websites and logos take lots of forethought and planning with multiple consultations. Timeframes for projects depend on how soon we receive the Clients payment, content/images and our current workload. The pre-production and production stage and can take as little as a week to months. It all depends on clear communication between the Client and us. Updates or edits to work requested by Client should be started in less than 36hrs. depending on current work load. If the work requires immediate attention a “Rush Fee” may be charged and invoiced. For other issues, see website repairs.
4. Design Protocol.
Depending on the project, Clients may be shown a “mock-up” template or theme, and then choose one to go into production phase. If they don’t approve of it, they can cancel the project in writing and not pay the remaining balance. However, Lionize Designs retains all rights to design work produced and all previous payments made. After the production phase, client can make one last minor revision according to their invoice. Further changes beyond the original project invoice is considered maintenance work and will incur extra cost and be invoiced seperately.
5. Content and images.
All content, photos, logos or similar submitted by client, is assumed to be owned by client and free to use in any way for design purposes. All responsibility and liability for content and images resides with the Client.
All payments are non-refundable. Even if you choose not to provide content or photos or complete a project, no exceptions. Consultation and emailing clients takes a lot of time and is included in your payment/s. “Mock-ups” or “compositions” and template or theme customization work is included in your payments also. Payment schedule for web design is 70% down payment, then 20% payment after the production phase or logo design (if needed) then 10% due (or the remaining balance due) after the website is uploaded to the server.
Final files will be uploaded to Lionize Designs hosting server or other server upon completion (unless otherwise agreed upon in writing) after which, final payment or balance will be due within 5 days. Payments over 5 days late may incur a late fee of 3%.
In the event that project work is cancelled, postponed or delayed by the client, the client must send a email to us to formally notify us to “stop work” or client will be responsible for the full remaining balance. Lionize Designs reserves the right to retain all project payments made before then. All production work including but not limited to consultations via phone and email, mock-ups, compositions, theme costs, and troubleshooting through the date of cancel request will be billable and invoiced while reserving all rights under this Contract. Invoice will be payable within 7 days of the Client’s notification to stop work. The Client shall also pay any extra expenses incurred for work not yet billed (eg. printing costs for cards, etc.) and Client doesn’t receive license to use work until all outstanding balances are paid. If Lionize Designs can’t complete the project due to lack of communication, content, photos, or other pertinent information being received from the client, we will notify we require 50% of the next payment to be paid or Lionize Designs can cancel the project and keep the work. If the project still can’t be finished 14 days after that due date, then the remaining balance will be due in full and files will be retained until final payment is received. In the event of a default in payment, the Client shall assume responsibility for collection and legal costs and Lionize Designs retains all rights to work.
9. Copyrights and Licenses.
Upon complete payment, Client has a non-exclusive, personal, irrevocable and royalty-free license to use the software/work, but no right to sub-license the software/work to third parties. Client has the right to repair, maintain and upgrade the software/work in accordance with the requirements of the clients business. Lionize Designs retains the exclusive copyright to software/work and the right to display graphics and other elements as examples of their work in their respective portfolios on and offline. Client agrees to allow Lionize Designs to have a “Designed by” credit link/graphic at the bottom of their website in font-size no less than 7px high. This will enhance your web traffic due to the linking nature! Lionize Designs may request removal of byline credit at any time.
10. Limitation of Liability.
Client assumes liability of all copyrights for content, photos, logos and graphics supplied to Lionize Designs unless otherwise agreed upon in writing. Design Professional is not liable for Clients uptime on web server. Client hereby agrees that to the fullest extent permitted by law, Design Professional shall not be liable to Client for any special, indirect or consequential damages whatsoever, whether caused by Design Professional’s negligence, errors, omissions, strict liability, breach of contract, breach of warranty or other cause or causes whatsoever, including but not limited to, loss of use of equipment or facility, and loss of profits or revenue.
